Terms of Service

Last updated: October 30, 2026

1. The Service

LeanSRM helps you send purchase orders to your suppliers, collect their confirmation without requiring them to create an account, and record shipments and receipts. It is a confirmation and receiving tool. It is not an accounting, invoicing, payment or tax system, and it does not send email on your behalf.

2. Your account

The Service is offered for business use, not personal, family or household use. The business using the Service is “Customer” (“you”); its service provider is the Operator identified in §10. If you accept these Terms for an organization, you confirm that you are authorized to bind it. You are responsible for your account credentials and for what happens under your account. Pilot accounts are opened by us as part of onboarding. Payment for an approved pilot is taken through Paddle checkout on leansrm.com, from your signed-in billing page, as described in §5. Subscriptions are managed and cancelled through Paddle’s customer portal (Manage billing). Payment does not promise immediate or automatic account provisioning.

3. Supplier links

Links you send to your suppliers are scoped to a single order and show only that supplier’s own lines. You are responsible for sending them to the right recipients.

4. Acceptable use

Do not use the Service to send unlawful content, to misrepresent who you are, or to attempt to access another customer’s data.

5. Pilot customers, purchases and subscriptions

If you are in the pilot program, the Pilot Agreement you signed also applies, including its fee, term, refund and data-handling terms. We provide it before you sign or pay; request a free copy by email. If this page and your Pilot Agreement conflict about our service obligations to you, the Pilot Agreement controls. It does not override your separate purchase contract with the merchant of record or any non-excludable right. For pilot customers, the refund condition in the Pilot Agreement is the sole and exclusive contractual remedy for a detection failure covered by it. This does not restrict a refund due, subscription credit or rights that applicable law does not allow us to exclude.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Paddle is our authorized reseller and merchant of record, and is the seller of record to you for purchases made through its checkout. Paddle calculates, collects and remits applicable sales tax or VAT at checkout and issues the invoices and receipts for those purchases. Your payment contract is with the Paddle entity identified at checkout and on your receipt. The Paddle Buyer Terms presented at checkout apply to that purchase. We provide and support LeanSRM and remain responsible for our service, guarantee and credit promises. Paddle handles payment processing, refunds and chargebacks under its applicable terms; these Terms do not bind Paddle or restrict your rights against it. Prices are in USD before applicable tax; Paddle displays the tax and total before purchase.

The $299, 30-day pilot is a one-time purchase and does not automatically renew or convert into a subscription. Continuing requires an express choice to purchase a separate monthly or annual subscription. The current subscription prices are Core at $299 per month or $2,990 per year (up to 40 active suppliers and 500 new POs per month) and Scale at $499 per month or $4,990 per year (up to 100 active suppliers and 1,500 new POs per month), before applicable tax; annual billing is 10 months’ price. Founding customers — companies that paid for the pilot and did not receive a pilot-fee refund — pay $249 per month or $2,490 per year for Core, locked for 12 months from the end of the pilot. A subscription, if separately selected, renews each month or year per the chosen billing period until cancelled before the next billing date using Paddle’s subscription-management link. Email frank@leansrm.com if you need help accessing that link. The agreed subscription price and any pilot-credit discounts are disclosed before you subscribe. A fully discounted billing period does not cancel the subscription or its next renewal.

For a qualifying pilot detection-guarantee request, we will submit a request through Paddle for a full refund of the pilot fee you actually paid to the original payment method within 10 business days of receiving a qualifying request, not internal approval. Paddle processes the refund; approval and bank posting times may take longer. We do not deduct processing fees. Any associated tax refund is handled by Paddle as required by applicable law. A delay or refusal by Paddle does not cancel our refund obligation, and a shorter mandatory legal deadline is not extended. The detection standard and claim requirements are in Pilot Agreement §7, provided free before signing or paying. This guarantee supplements and does not restrict rights under the Paddle Buyer Terms, payment-dispute rights or mandatory law.

Refunds and cancellations for the pilot and for Core and Scale subscriptions, including the refund windows for a first subscription payment and an annual renewal, are set out in our Refund Policy, which forms part of these Terms. Cancelling a subscription takes effect at the end of the current billing period.

The pilot fee you actually paid is applied as subscription-fee credit, without expiry, through one-time fixed-amount discounts on Paddle subscription transactions from the first subscription billing period onward until used up. Each discount is limited to the subscription fee due before tax; unused credit carries forward for later LeanSRM subscription fees and is not paid out in cash, subject to non-excludable rights. A pilot-fee refund cancels unused credit; discounts already used are not clawed back and never reduce or delay the full pilot-fee refund. The Pilot Agreement sets out the full credit rules and price-lock period.

Plan allowances (active suppliers, new POs) are reviewed manually; LeanSRM does not currently meter usage or send automatic limit alerts. If you go over a limit we notify you and ask before upgrading; there is no retroactive charge and no sudden stop of existing PO monitoring.

6. Your data

Your data is yours. Organization owners can export business records and files and request organization deletion as described in the Privacy Policy. Authentication records are not included in that export or automatic organization deletion; email us for identity-data requests. We use customer data to provide the Service, not to sell it or share it for cross-context behavioral advertising.

7. Availability and changes

The Service is provided as-is, subject to your Pilot Agreement and rights that cannot be excluded. We may change or discontinue features for future customers; changes do not remove a paid pilot commitment, a refund due or subscription credit. During the pilot we may interrupt the Service for maintenance.

8. Limits

To the extent permitted by law, our total liability to you is limited to the fees you paid for LeanSRM in the 12 months before the claim, whether collected by us or by a merchant of record. This limit does not reduce a refund due or subscription credit we have promised. Nothing here excludes liability that cannot be excluded, including for gross negligence or willful misconduct.

9. Governing law and dispute resolution — arbitration with a small-value court option

This service agreement and any non-contractual obligation arising out of or relating to it are governed by the laws of the Hong Kong Special Administrative Region, excluding its conflict-of-law rules. Mandatory laws and rights that cannot lawfully be excluded or displaced remain applicable. This clause governs disputes between you and the Operator; it does not govern a dispute with Paddle or Creem or replace the applicable merchant’s buyer terms.

The parties will first attempt in good faith to resolve a dispute by written notice to the other party’s contract-notice email. If it is not resolved within 30 days after that notice, either party may start the proceeding permitted below. This informal step does not postpone a refund obligation, restrict a payment dispute, or prevent a filing needed to preserve a legal time limit or obtain urgent relief.

Except for the court options below, any dispute, controversy or claim arising out of or relating to this service agreement, including its existence, validity, interpretation, performance, breach or termination, and any related non-contractual obligation, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration is Hong Kong. There shall be one arbitrator. The language of the arbitration is English. The arbitration agreement itself is governed by Hong Kong law. The parties request a proportionate, documents-first procedure and remote hearings where permitted by HKIAC and the tribunal; a physical hearing may be directed where reasonably necessary for fairness. The tribunal may apply an expedited procedure only as permitted by the applicable rules. The award is final and binding, subject to the review and enforcement rights provided by applicable law.

For a dispute seeking only monetary relief of US$5,000 or less, either party may instead elect a competent court where Customer has its principal place of business or where the Operator resides. A small-claims court may be used if its monetary, subject-matter, venue and service rules permit; otherwise the election may be made in an ordinary civil court with jurisdiction in either of those locations. Each party consents to personal jurisdiction and venue there for such a claim, but this consent does not override subject-matter limits or mandatory service rules. No party is required to arbitrate a claim properly pursued under this small-value court option.

Either party may seek urgent interim relief from a competent court or apply to a competent court to recognize or enforce an award. Each party bears its own legal-representation costs unless a non-excludable law requires otherwise; the tribunal may allocate institutional and arbitrator costs under the applicable rules, taking proportionality into account. This clause does not impose an automatic prevailing-party entitlement to legal fees.

For disputes required to be arbitrated, arbitration replaces a court trial, including a jury trial where one would otherwise be available. There is no separate waiver of jury rights for a dispute properly heard in court, and no contractual class-action waiver is imposed by this clause. Nothing here limits non-excludable consumer or privacy rights, complaints to regulators, a refund already due, or any right to contact the merchant of record or a payment issuer about a payment dispute.

10. Contact

LeanSRM is operated by Dayuan "Frank" Zeng, an individual resident in China, trading as LeanSRM (the “Operator”, “we”, “us”). Contract notices, refund requests (see the Refund Policy) and privacy enquiries: frank@leansrm.com. No postal copy is required for a contract notice. Email notices do not replace service of legal process or any notice or address requirement imposed by applicable law.

For vendor onboarding, the Operator’s Form W-8BEN is available on request, where applicable. Email frank@leansrm.com; the form is supplied privately, not published on this website. Paddle is the seller of record for a Paddle purchase, so documentation for the selling entity on your invoice or receipt must be requested through Paddle. The Operator’s form does not replace the merchant’s tax documentation or promise an exemption from tax or withholding.

Billing questions can go to Paddle (paddle.net) or to us at frank@leansrm.com. Paddle provides all customer service inquiries and handles returns.
